Terms and Conditions

1. Introduction
These Terms and Conditions ("Terms") govern your use of the TaxStats platform and services. Our services are delivered by two companies under common ownership and direction:
- TaxStats Ltd (company number 10445962, registered at Work.Life, 30 Brown Street, Manchester, M2 1DH) — an ACCA-regulated accounting practice (ACSP AP006589) that provides accounting, tax filing, payroll, and advisory services.
- TaxStats Cloud Ltd (company number 15503954, registered at 56 Oldham Road, Ashton-Under-Lyne, England, OL6 7AP) — the technology company that develops and operates the TaxStats platform (portal.taxstats.co.uk).
References to "TaxStats", "we", "us", or "our" in these Terms refer to both entities as applicable. TaxStats Ltd is responsible for all regulated accounting and tax services. TaxStats Cloud Ltd is responsible for the technology platform.
By creating an account or using our services, you agree to be bound by these Terms. If you do not agree, you must not use our services.
2. Service Description
TaxStats provides an AI-powered accounting and tax platform that enables individuals and businesses to manage their financial affairs, file tax returns, process payroll, submit VAT returns, and access accounting services. Our platform combines automated technology with access to qualified accountants.
The specific services available to you depend on your subscription plan. Details of each plan and the services included are set out on our pricing page and in your subscription confirmation.
3. Account Registration
To use our services, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately if you become aware of any unauthorised use of your account.
You must be at least 18 years old to create an account. If you are creating an account on behalf of a business, you represent that you have the authority to bind that business to these Terms.
4. Acceptable Use
You agree to use our services only for lawful purposes and in accordance with these Terms. You must not use our services to upload or transmit viruses, malicious code, or harmful content; attempt to gain unauthorised access to our systems; interfere with the operation of our platform; use our services for money laundering, tax evasion, or any other illegal activity; or provide false, misleading, or fraudulent information.
We reserve the right to suspend or terminate your account if we reasonably believe you are in breach of these Terms.
5. Accuracy of Information
You are responsible for the accuracy and completeness of all information you provide to us. Tax returns, payroll submissions, VAT returns, and other filings are prepared based on the information you supply. We will review the information for reasonableness and may query entries that appear unusual, but we cannot verify the underlying accuracy of every transaction.
You must notify us promptly of any changes to your personal or business information that may affect the services we provide.
6. Intellectual Property
All intellectual property rights in our platform, including software, designs, logos, documentation, and content, are owned by TaxStats Ltd or our licensors. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the platform for its intended purpose during the term of your subscription.
You must not copy, modify, reverse engineer, decompile, or create derivative works from our platform or any part of it. You must not remove or alter any copyright notices or proprietary markings.
7. Limitation of Liability
To the maximum extent permitted by law, TaxStats shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, business interruption, or loss of goodwill, arising out of or in connection with your use of our services.
Our total aggregate liability to you for all claims arising out of or in connection with these Terms shall not exceed the total fees paid by you to TaxStats in the twelve months preceding the claim.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.
8. Professional Liability
TaxStats maintains professional indemnity insurance. Where we provide professional accounting or tax advice, our liability is subject to the terms of our engagement letter. We are liable for losses caused by our negligence or breach of duty in providing professional services, subject to the limitations set out in our engagement letter and these Terms.
9. Data Protection
We process your personal data in accordance with our Privacy Policy and applicable data protection legislation including the UK GDPR and the Data Protection Act 2018. By using our services, you consent to the processing of your personal data as described in our Privacy Policy.
Where we process personal data on your behalf (for example, your employees' payroll data), we act as a data processor and you act as the data controller. In such cases, we will process the data only in accordance with your instructions and applicable law.
10. Payment Terms
Subscription fees are charged in advance on a monthly or annual basis, depending on the billing cycle you select. Fees are non-refundable except as expressly stated in these Terms or required by law. We accept payment by credit card, debit card, and direct debit. All prices are stated in pounds sterling and are exclusive of VAT unless otherwise stated.
If payment fails, we will notify you and may suspend access to your account until payment is received. We reserve the right to charge interest on overdue amounts at the rate of 4% above the Bank of England base rate.
11. Subscription Terms
Your subscription begins on the date you sign up and continues for the duration of your chosen billing cycle (monthly or annual). Subscriptions renew automatically at the end of each billing cycle unless you cancel before the renewal date.
You may upgrade your subscription at any time. Upgrades take effect immediately and the fee difference is prorated for the remainder of the current billing cycle. You may downgrade your subscription at the end of the current billing cycle.
12. Cancellation
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing cycle. You will continue to have access to paid features until the end of the period you have paid for.
Annual subscriptions may be cancelled with a prorated refund within the first 14 days. After 14 days, annual subscriptions are non-refundable but you will retain access until the end of the annual period.
Upon cancellation, your data will be retained for the period required by law and our data retention policy. You may request an export of your data before or after cancellation.
13. Service Availability
We aim to provide continuous access to our platform but do not guarantee uninterrupted availability. We may temporarily suspend access for maintenance, updates, or security reasons. We will endeavour to provide advance notice of planned downtime where practicable.
We are not liable for any losses arising from temporary unavailability of our platform, provided we take reasonable steps to restore access promptly.
14. Third-Party Services
Our platform integrates with third-party services including HMRC, Companies House, Finexer, and Stripe. These integrations are provided subject to the third parties' own terms and conditions. We are not responsible for the availability, accuracy, or performance of third-party services.
15. Dispute Resolution
If you have a complaint about our services, please contact us at info@taxstats.co.uk. We will acknowledge your complaint within 2 working days and aim to resolve it within 20 working days. If we cannot resolve your complaint to your satisfaction, you may refer it to the relevant professional body or ombudsman service.
16. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
17. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email and by posting the updated Terms on our website at least 30 days before they take effect. Your continued use of our services after the updated Terms take effect constitutes acceptance of the changes.
